01Agreement to these terms
These Terms of Service ("Terms") govern your use of the pages, forms and communications operated by Prime Pay USA ("Prime Pay," "we," "us" or "our"). By using our pages or submitting a form or application, you agree to these Terms and to our Privacy Policy. If you don't agree, please don't use our pages.
02Who can use our services
You must be at least 18 years old and authorized to act on behalf of the business you tell us about. Our services are offered to businesses located in the United States.
03What we offer
Prime Pay provides payment processing services to businesses and a rewards program in which eligible merchants earn points on qualifying card payments processed through Prime Pay. Information on our pages and in our videos is general and for informational purposes only. It is not financial, legal or tax advice.
04Applications and approval
Submitting a form or application does not guarantee approval or create an account. Merchant accounts are reviewed and approved by our banking and processing partners under their own criteria. If you're approved, your merchant agreement and the rewards program terms provided to you govern your account. If those documents conflict with these Terms, those documents control.
05Rewards program
- Points are earned on eligible card payments processed through Prime Pay, at the rates and under the rules set out in the rewards program terms you receive at enrollment.
- Reward options shown on our pages, in ads or in videos are examples. Availability, point values and redemption options can change.
- Points have no cash value and can't be transferred or sold, unless the rewards program terms say otherwise.
- We may change or end the rewards program as allowed by the rewards program terms and applicable law.
- Brand names and products shown as reward examples are trademarks of their respective owners. Showing them doesn't mean those companies sponsor or endorse Prime Pay.
06Information you give us
You agree that the information you submit is accurate, complete and yours to share. You authorize Prime Pay and its banking and processing partners to verify it, which may include identity, business and fraud checks and, where permitted by law, a credit inquiry. How we handle your information is described in our Privacy Policy.
07Calls, texts and emails
By submitting your phone number and email, you agree that Prime Pay may contact you about your application, your account and our services by phone call, text message and email at the contact details you provide, including with automated technology. Consent is not a condition of any purchase. Message frequency varies. Message and data rates may apply. Reply STOP to stop text messages or HELP for help.
08Our content
Everything on our pages, including text, graphics, logos, videos and design, belongs to Prime Pay or its licensors and is protected by intellectual property laws. You may view it for your own use, but you may not copy, change, distribute or sell it without our written permission.
09Acceptable use
You agree not to submit false information or someone else's information, interfere with or try to gain unauthorized access to our pages or systems, use our pages for any unlawful or fraudulent purpose, or use automated tools to scrape or collect data from them.
10Third-party services
Our pages use third-party tools, such as form, video and analytics providers, and may link to third-party sites. We aren't responsible for third-party content, services or practices, and your use of them is subject to their own terms.
11Disclaimers
Our pages and their content are provided "as is" and "as available," without warranties of any kind, to the fullest extent permitted by law. We don't guarantee that our pages will be error-free or uninterrupted, or that any particular savings, earnings or rewards will result from using our services.
12Limitation of liability
To the fullest extent permitted by law, Prime Pay and its owners, employees and partners will not be liable for any indirect, incidental, special, consequential or punitive damages, or any loss of profits, data or business, arising from your use of our pages. Our total liability for any claim related to these pages will not exceed one hundred US dollars ($100).
13Indemnification
You agree to defend, indemnify and hold harmless Prime Pay and its owners, employees and partners from claims, losses and expenses, including reasonable attorneys' fees, arising from your breach of these Terms or your misuse of our pages.
14Governing law
These Terms are governed by the laws of the State of [State], without regard to its conflict of law rules. Any dispute will be resolved in the state or federal courts located in [County, State], and you consent to their jurisdiction.
15Changes to these terms
We may update these Terms from time to time. The "Last updated" date at the top shows when they last changed. Continuing to use our pages after changes are posted means you accept the updated Terms.
